Membership Agreement
If elected to membership, the applicant hereby subscribes to and agrees to be governed by the Charter and Bylaws and the rules established by the Board of Governors. The applicant agrees that upon termination of its membership in accordance with the Bylaws, it shall thereby forfeit all right, title, or interest on its part to any portion of the funds, property, or other assets of the Association.
The applicant affirms that it qualifies under the following Bylaws provisions pertaining to membership:
Article II
Regular Membership
1. Membership. Regular membership is available to firms engaged in the production of aerospace systems, as defined by the Board of Governors (see below), in the U.S., provided the firm is not owned or substantially controlled, directly or indirectly, by a foreign government.
5. Code of Ethics. Each member shall file a written code of business ethics and conduct evidencing its committent to fulfill honorably its responsibilities to its employees, stockholders, the public, and to the nation under all applicable laws.
Resolution:
Production of Aerospace Systems
The following resolution defining the term "production of aerospace systems" was adopted by the Board of Governors at its meeting on November 17, 1990:
Resolution: Whereas Section 1, Article II, of the Bylaws delegates to the Board of Governors the authority and responsibility of defining the term 'production of aerospace systems' for the purpose of clarifying the types of business activity which make a business entity eligible for membership in AIA.
Now, therefore, be it resolved that the term 'production of aerospace systems' is defined to mean the manufacture of manned and unmanned aircraft, missles, astronautical vehicles (hereafter referred to as 'such products'), propulsion units or control equipment for such products, materials or structural components for such products, avionic, electronic or ground equipment necessary to the operation and functioning of such products, including subsystems, components, software or associated equipment, and providing services unique to the production or operation of aerospace systems, such as systems engineering and/or integration.
